These Terms of Service ("Terms") constitute a binding agreement between:

The organization or individual that registers for and uses the Erppi ERP service ("Customer", "you").
Erppi ERP ("Service") is a cloud-based enterprise resource planning system for small and medium businesses, including:
The Service is provided as a software-as-a-service (SaaS) accessible at https://erppi.jpu.fi or such other URL as the Provider may designate.
To use the Service, the Customer must create an organization account with a valid email address and password. The Customer is responsible for the accuracy of registration information.

We recommend enabling multi-factor authentication (MFA) for all user accounts.
The Customer may create user accounts up to the limit allowed by their subscription plan. The Customer is responsible for managing user access and permissions.
The Service is offered under the following plans:

Prices are exclusive of applicable VAT unless otherwise stated. The Self-Hosted plan is subject to the additional terms set out in Section 14.
New accounts receive a 14-day free trial of the Standard plan. No payment information is required for the trial. At the end of the trial, the Customer must subscribe to a paid plan to continue using the Service.
Payments are processed through Stripe. By subscribing, the Customer agrees to Stripe's terms of service. Subscriptions are billed monthly in advance.
We may change pricing with at least 60 days' written notice. Existing Customers will be informed via email. The new pricing takes effect at the start of the next billing period after the notice period.
If you cancel within the first 14 days of a paid subscription, we will issue a full refund. After 14 days, subscriptions are non-refundable but you may continue to use the Service until the end of the current billing period.
The Customer retains all ownership rights to data entered into the Service ("Customer Data"). We do not claim ownership of Customer Data.
The Customer grants us a limited license to store, process, and display Customer Data solely for the purpose of providing the Service.
The Customer may export their data at any time through the Service's built-in export features or by contacting us at [email protected].
Upon termination of the subscription:
Our processing of personal data is governed by our Privacy Policy and, where applicable, the Data Processing Agreement (DPA).
The Customer agrees not to:
We reserve the right to suspend accounts that violate these terms with reasonable notice, except in cases requiring immediate action to protect the Service or other customers.
We aim to maintain 99.5% monthly uptime for the Service, excluding scheduled maintenance. This is a target, not a guarantee.
Scheduled maintenance will be announced at least 48 hours in advance via email or in-app notification. We will make reasonable efforts to schedule maintenance during off-peak hours (weekends, evenings CET/EET).
We are not liable for service interruptions caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet infrastructure failures, cyberattacks, or failures of third-party service providers.
All paid plans include email support at [email protected]. We aim to respond to support requests within 2 business days.
Customers on the Business plan receive priority support with a target response time of 1 business day.
Self-hosted licenses include 1 year of email support for installation and configuration issues. After the support period, support can be purchased separately.
The Service, including its source code, design, documentation, and all related intellectual property, is owned by JPu Engineering. These Terms do not grant the Customer any rights to our intellectual property except the limited right to use the Service as described herein.
If the Customer provides suggestions or feedback about the Service, we may use this feedback without obligation to the Customer.
The Service is provided "as is" and "as available." We make no warranties, express or implied, regarding the Service's fitness for a particular purpose, merchantability, or uninterrupted availability.
To the maximum extent permitted by applicable law, our total liability for any claims arising from or related to these Terms or the Service shall not exceed the total fees paid by the Customer in the 12 months preceding the claim.

The Service is a tool to assist with business management. It does not replace professional accounting, tax, or legal advice.
The AI-powered assistant feature integrated in the Service is provided for informational and productivity purposes only. Use of the AI assistant is entirely at the Customer's own risk. JPu Engineering makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any AI-generated content or recommendations.
JPu Engineering shall have no liability whatsoever for:
The Customer is solely responsible for reviewing and verifying all AI-generated outputs before acting upon them. The AI assistant does not constitute professional advice of any kind (legal, financial, tax, or otherwise).
The Customer may cancel their subscription at any time. Cancellation takes effect at the end of the current billing period. The Customer retains access until the end of the paid period.
We may terminate or suspend the Customer's account:

If we decide to permanently discontinue the Service:
These Terms are governed by the laws of Finland, without regard to conflict of law principles.
Any dispute arising from these Terms shall be resolved as follows:
If the Customer is a consumer, nothing in these Terms limits the Customer's mandatory rights under Finnish consumer protection law (Kuluttajansuojalaki 38/1978) or EU consumer directives.
We may modify these Terms with at least 30 days' written notice. Continued use of the Service after the effective date constitutes acceptance. If the Customer does not agree with the changes, they may terminate their subscription before the changes take effect.
The Customer may not assign these Terms without our written consent. We may assign these Terms to a successor legal entity, including in connection with a change of business form (e.g., sole proprietorship to limited company), merger, acquisition, or sale of assets. Upon such assignment, the successor entity assumes all rights and obligations under these Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force.
These Terms, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between the parties regarding the Service.
These Terms are drafted in English. In case of conflict between language versions, the English version prevails.
This section applies exclusively to Customers who purchase and deploy the Self-Hosted version of the Erppi ERP software ("Self-Hosted License"). In the event of conflict between this Section 14 and other provisions of these Terms, this Section 14 prevails for Self-Hosted deployments.
Subject to these Terms and full payment of the applicable license fee, JPu Engineering grants the Customer a non-exclusive, non-transferable, non-sublicensable license to install and use the Erppi ERP software in a self-hosted environment controlled by the Customer.
Unless otherwise agreed in writing:
The Erppi ERP software, including its source code, architecture, documentation, and all related intellectual property rights, remains the exclusive property of JPu Engineering. No rights are granted to the Customer except as expressly stated in this license.
The Customer shall not, unless expressly permitted in writing:
For Self-Hosted deployments, the Customer is solely responsible for:
JPu Engineering has no responsibility for the Customer's infrastructure, configuration choices, or operational security.
For Self-Hosted deployments:
Any access granted for support purposes shall be limited in scope and duration, occur only with the Customer's explicit authorization, and be governed by confidentiality obligations.
Unless otherwise agreed in writing:
The Self-Hosted version is not subject to any uptime guarantees, service levels, or availability commitments. JPu Engineering shall have no liability for downtime, data loss, or service interruptions resulting from Self-Hosted use.
The Self-Hosted software is provided "as is" and "as available", without warranties of any kind. JPu Engineering expressly disclaims all warranties, including but not limited to fitness for a particular purpose, merchantability, non-infringement, and compliance with statutory accounting, tax, or reporting requirements.
To the maximum extent permitted by applicable law:
JPu Engineering may terminate the Self-Hosted License immediately if the Customer materially breaches these Terms.
